Terms of Service

The rules for using CharterDeck, including how we process data on your organisation's behalf.

Last updated: 30 September 2026

Please read these terms before using CharterDeck. Our Privacy Policy explains how we handle personal data and is part of these terms.

1. Agreement

These terms govern the use of CharterDeck (the charterdeck.io website and the desk at desk.charterdeck.io), operated by ORION MARINE GEMİ ELEKTRİK SANAYİ VE TİCARET LİMİTED ŞİRKETİ (“Orion Marine”), Orhangazi Mah. Vatan Cad. No: 23/A, Pendik, Istanbul, Türkiye (“we”, “us”). By creating an account or using the desk on behalf of an organisation you accept these terms for that organisation (the “Customer”) and confirm you are authorised to do so.

CharterDeck is in early access. Features may change, and we may suspend or withdraw parts of the service with reasonable notice.

2. The desk software and our brokerage services

These terms cover the CharterDeck desk software: tools that help chartering teams organise cargoes, vessel positions, counterparties and communications, check whether a vessel fits a cargo, and estimate voyage economics and emissions.

CharterDeck also offers chartering and shipbroking services: cargo owners and charterers can send us cargo enquiries, and shipowners and operators can send us open positions. Sending an enquiry or a position does not by itself appoint us as broker or commit anyone to anything. We act as broker for a party only once we have agreed that with them for the business concerned, and what we agree then governs that engagement, not these terms.

Shortlists, indications and other replies we send are for information and are not binding offers. A fixture is concluded only when the parties themselves agree the terms and lift any subjects. We do not own or operate vessels.

Using the desk software does not make us a party to any charter party, offer, negotiation or fixture, and does not appoint us as broker, agent, carrier or adviser. Commercial decisions made in the desk remain the Customer's.

3. Accounts

Access is by invitation. The Customer's owner manages who has access and with which role. Keep sign-in credentials confidential; the Customer is responsible for activity under its accounts. Tell us promptly at the contact address below if you suspect unauthorised access.

4. Customer data

The Customer keeps all rights in the data it puts into or connects to CharterDeck (“Customer Data”). The Customer grants us the rights needed to host and process Customer Data to provide, secure and support the service, and for no other purpose. We do not sell Customer Data.

The Customer confirms it has the right to share Customer Data with us and to connect any mailbox it connects, and that it meets its own obligations towards its counterparts and staff — for example informing them that their business communications are processed with CharterDeck.

5. Connected mailboxes

A mailbox is connected only by the Customer's owner, only for the mailbox address the Customer has designated, and with read-only permission. Messages received after the connection are imported; earlier messages are not. Sending from CharterDeck requires a separate, explicit authorisation and is off by default.

The Customer can disconnect a mailbox at any time, which immediately deletes the stored access credential.

6. Processing on the Customer's behalf (data processing terms)

Where Customer Data contains personal data, the Customer is the controller and we are its processor. These data processing terms form part of the agreement between us. We will:

  • process personal data only on the Customer's documented instructions — these terms and the Customer's use of the service — unless the law requires otherwise;
  • ensure the people authorised to process it are bound by confidentiality;
  • apply appropriate technical and organisational security measures (Privacy Policy, section 8);
  • use only the sub-processors listed in our Privacy Policy, bound by equivalent obligations, and give notice of new sub-processors so the Customer can object;
  • help the Customer respond to data-subject requests and meet its security, breach-notification and impact-assessment obligations;
  • notify the Customer without undue delay after becoming aware of a personal data breach affecting its data;
  • delete or return Customer Data at the end of the service, unless the law requires us to keep it;
  • make available the information needed to demonstrate compliance with these terms.

Transfers of personal data outside the EU/EEA or Türkiye are made only with the safeguards described in the Privacy Policy (section 6).

7. Automated outputs

Records read from messages, vessel–cargo matches, voyage estimates and emissions figures are produced automatically by rules and AI models, which also learn from the desk's feedback, from the information available. They can be incomplete or wrong. Verify them before relying on them for any commercial, contractual or compliance decision.

8. Acceptable use

  • Do not use CharterDeck for anything unlawful, including dealing with persons, vessels, cargoes or ports in breach of applicable sanctions and export-control laws — sanctions screening remains the Customer's responsibility.
  • Do not attempt to access other organisations' data, probe or circumvent security, or disrupt the service.
  • Do not upload malware or content you have no right to share.
  • Do not scrape, resell or build a competing service from CharterDeck.

We may suspend access that breaches these rules or endangers the service or other customers.

9. Fees

The service is free during early access unless we agree otherwise in writing. Paid plans, if introduced, will be offered with notice and apply only once accepted.

10. Availability and warranties

We work to keep CharterDeck available and secure, but during early access it is provided “as is” and “as available”, without warranties of any kind to the extent the law allows.

11. Liability

To the extent the law allows, neither party is liable for indirect or consequential loss, lost profit, lost charter hire or freight, or loss of business opportunity, and our total liability arising from the service is limited to the fees the Customer paid us in the twelve months before the claim. Nothing in these terms limits liability for intent or gross negligence, or any liability that cannot be limited by law.

12. Termination

The Customer may stop using CharterDeck at any time. We may end the service with 30 days' notice, or immediately for a serious breach. On termination we delete Customer Data as described in the Privacy Policy.

13. Governing law

These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul have jurisdiction, without prejudice to mandatory consumer or data-protection rules that give you other rights.

14. Changes and contact

We may update these terms; the date at the top shows the latest version, and material changes are announced to desk users before they apply.
